1. General

Micro Consulting SA ("MC") grants you a license on, and in no case sells you, the software, documentation and fonts accompanying this license, whether on DVD, downloaded from the Internet, on memory dead (ROM) or other medium (collectively, the "Software"), solely for use in accordance with the terms of this agreement. MC reserves all rights which are not expressly granted to you. The licenses granted herein are limited to the intellectual property rights of MC and its licensors in the Software and do not include any other patents or intellectual property rights. You own the medium on which the Software is recorded, but MC and / or MC's licensors retain ownership of the Software. The rights granted by the terms of this license apply to all software updates used to replace and / or supplement the original Software, unless such updates include a separate license.

 

The title and intellectual property rights associated with the content displayed in the Software or made accessible through the latter are the property of their owner. These contents are likely to be protected by copyrights or other treaties on intellectual property and may be subject to conditions of use set out by the third party providing them. This license does not grant you any right to use these contents.

 

2. Permitted uses of the license and restrictions

This license authorizes you to install and use a single copy of the Software on one computer at a time. You may make only one copy of the Machine Language Software for backup purposes only, provided that such backup copy is required to reproduce the copyright or other proprietary rights information contained in the original. Except and exclusively to the extent permitted by this license or applicable law, you may not copy, decompile, reverse engineer, disassemble, modify, or create derivative products of the Software or any part thereof.  

 

3. Transfer

You may not rent, lease, lend or license the Software. All components of the Software are provided together and cannot be isolated for distribution as a stand-alone application.  

 

4. Term of license

This license is valid until its term. Your rights under this license will automatically terminate without notice from MC if you fail to comply with any of its provisions. Upon expiration of this license, you will be required to cease all use of the Software and destroy all copies, whole or in part, of such Software.

 

5. Limited Media Warranty

MC warrants the media on which the Software is recorded against defects in material and workmanship, under normal use, for a period of one year from the date of original purchase of the product. Your sole remedy under this section is, at MC's discretion, either to refund the price of the product containing the Software, or to replace the Software, when returned to MC or an authorized representative. from MC with a copy of the invoice.  

 

6. Exclusion of guarantees

You expressly acknowledge and agree that use of the software is at your own risk and that all risk as to quality, performance, accuracy and satisfactory handling rests with you. With the exception of the limited media warranty stated above and to the maximum extent permitted by applicable law, the software is provided "as is" with all defects and without any warranty of any kind. MC and MC's licensors (collectively referred to as "MC" for the purposes of the provisions of paragraphs 6 and 7) hereby exclude all warranties and conditions, express, tacit or legal, including but not limited to the implicit guarantees and / or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, ease of use and non-infringement of the rights of third parties, all with regard to the software. MC does not guarantee that you will not be disturbed during your use of the software, that the functions contained in the software will meet your needs, that the operation of the software will be uninterrupted or error-free, or that any defect in the software will be corrected. No information or advice communicated verbally or in writing by MC or one of its authorized representatives can constitute a guarantee. If the software is found to be defective, you will be solely responsible for the full cost of any necessary servicing, repair or rectification.  

 

7. Limitation of Liability

To the extent that the law does not prohibit it, in no case will MC be liable for bodily injury or any accidental, special, indirect or incidental damage, including without limitation, damage due to loss of profits, losses data, business interruption or any other business damage or business loss resulting from or relating to your use of or inability to use the software, for whatever cause, regardless of the theory of liability (whether for breach of contract, civil liability, or other) and even if MC has been informed of the possibility of such damage.  MC's total liability to you for any damage (other than what the law may require in cases involving injury) will in no event exceed the sum of one hundred Swiss francs (CHF 100). The aforementioned limitations will apply even if the remedy indicated above fails to fulfill its essential purpose.

 

8. Applicable law and severability of the contract

This license will be governed and interpreted in accordance with Swiss law. If for any reason a court having jurisdiction determines that any provision of this license is unenforceable, in whole or in part, the other provisions of this license shall remain in full force.
